Terms of Service

These Terms of Service (“Terms”) govern your use of the Ausbel Health platform operated by Ausbelle Trading Inc, doing business as Ausbel Health (“we,” “us,” or “our”).

1. Acceptance of Terms

By creating an account or using the Ausbel Health platform, you agree to these Terms. If you do not agree, do not use the platform.

2. Description of Service

Ausbel Health is a software-as-a-service (SaaS) platform that provides acupuncture clinics with:

Online appointment booking and scheduling
Digital patient intake forms
Insurance eligibility verification
Treatment note documentation with AI-assisted billing codes
Insurance claims submission and tracking
Electronic Remittance Advice (ERA) processing
Patient portal
SMS appointment reminders
Google Calendar synchronization

3. Account Registration

You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Subscription and Payment

4.1 Free Trial

New accounts receive a 14-day free trial with no credit card required. Trial accounts are limited to 50 insurance transactions.

4.2 Subscription Plans

After the trial, continued use requires a paid subscription (Essentials, Plus, or Premium). Pricing is available at ausbel.com/pricing.

4.3 Billing

Subscriptions are billed monthly or annually through Stripe. You authorize us to charge your payment method on file. Prices may change with 30 days’ notice.

4.4 Cancellation

You may cancel your subscription at any time through the platform. Upon cancellation, your data is preserved for 30 days, after which it may be permanently deleted.

5. Acceptable Use

You agree not to:

Use the platform for any unlawful purpose
Attempt to gain unauthorized access to any part of the platform
Interfere with or disrupt the platform’s operation
Upload malicious code or content
Share account credentials with unauthorized individuals
Use the platform to store data unrelated to your clinical practice

6. HIPAA and Compliance

6.1 Business Associate Agreement

Use of the platform for processing Protected Health Information (PHI) requires execution of our Business Associate Agreement (BAA), which is presented during onboarding.

6.2 Clinic Responsibilities

As the Covered Entity under HIPAA, you are responsible for:

Obtaining necessary patient consents
Ensuring appropriate use of the platform by your staff
Reporting any suspected security incidents to us promptly
Maintaining your own HIPAA compliance program

7. Intellectual Property

The Ausbel Health platform, including its design, code, and content, is owned by Ausbelle Trading Inc. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for your clinical practice.

8. Data Ownership

You retain ownership of all data you enter into the platform, including patient records, treatment notes, and billing information. We do not claim ownership of your data.

9. AI-Generated Content

The platform uses artificial intelligence to suggest billing codes, generate treatment summaries, and provide other assistance. AI-generated content is provided as suggestions only and does not constitute medical, legal, or billing advice. You are responsible for reviewing and approving all AI-generated content before use.

10. Limitation of Liability

To the maximum extent permitted by law, Ausbel Health shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the platform.

Our total liability for any claim arising from these Terms or your use of the platform shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The platform is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the platform will be uninterrupted, error-free, or completely secure, or that insurance claims will be accepted by payers.

12. Indemnification

You agree to indemnify and hold harmless Ausbelle Trading Inc from any claims, damages, or expenses arising from your use of the platform, your violation of these Terms, or your violation of any applicable law or regulation.

13. Modifications to Terms

We may modify these Terms at any time. We will notify registered users of material changes via email at least 30 days before the changes take effect. Continued use of the platform after changes constitutes acceptance.

14. Termination

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or for any other reason with 30 days’ notice. Upon termination, your data will be preserved for 30 days.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Orange County, California.
